Rohan leads Russell Kennedy's Corporate and Commercial practice and acts for various public corporations as well as foreign and privately owned businesses, principally in the areas of mergers and acquisitions and business structures.

He also acts for many private clients in the field of business succession, provides GST advice to many of the firm’s major retirement village and property clients, and represents the Direct Selling Association of Australia and many of its member organisations.

  • Acting for buyers and sellers in mergers and acquisition transactions in a range of industries, including health, professional services, retirement living and aged care, property development,  wholesale, retail and manufacturing
  • Providing restructuring advice, preparing shareholder and partnership agreements for legal, accounting and other professional service firms
  • Negotiating partnership and shareholder disputes
  • Advising on complex succession and estate planning for various private businesses and business owners, including buy-sell agreements, family shareholder agreements, and trust structures
  • Negotiating commercial contracts, including major public private partnership infrastructure projects
  • Preparing and negotiating shareholder and joint venture agreements for a range of corporate and not-for-profit
  • Representing the peak industry body and various industry participants in the direct selling industry in relation to contractor terms of engagement, trade practices and fair trading law and other legal issues applicable to direct sellers
  • Co-authored comprehensive legal risk management and compliance guide for the direct selling industry
  • Advising on GST treatment of commercial and property transactions
