Jonathan assists clients with commercial contracts for business operations through to technology services. He has experience in relation to business structures, including the creation and restructure of companies, trusts and not-for-profit organisations.

In addition, he has assisted with several business sales and acquisitions, and organisational mergers. Jonathan regularly provides advice on corporate governance, Corporations Act and procurement issues. He also advises clients in the health, government and not-for-profit sectors.

Experience

  • Advising on business acquisitions, mergers and due diligence processes by for-profit and not-for-profit organisations
  • Advising on business structures and restructures, including the creation and restructure of companies, trusts, not-for-profit organisations and charitable foundations
  • Assisting clients with commercial contracts (including tenders) for business operations, management agreements, consultancies, technology services, electricity embedded networks and associated issues
  • Advising on corporate governance and Corporations Act issues, including directors’ duties and liability, conflicts of interest, election/appointment of directors
  • Advising not-for-profit organisations (including large peak bodies) on major constitution reforms. Work has included the design of the board and membership classes, advising on governance processes, modernising constitutions, member consultations and meeting procedure advice in contentious situations
  • Advising medical organisations and health related bodies in relation to health research projects, health privacy, qualified privilege and other commercial issues. Also acted for practitioners and medical colleges in respect of registration and training disputes
  • Advising State and Local Government on a range of information technology procurements
  • Assisting and advising Victorian Medicare Locals and GP divisions on establishing operations. Work included constitutions, merger and wind down agreements, funding and subcontracting issues and governance advice
  • Acted for a major private residential land investor for the principals of a major builder and associated foreign investors. Negotiated a residential land development agreement for a landowner to engage a well known developer
