Ellen is a Senior Associate in the Corporate and Commercial team with broad experience in corporate and commercial law, with a focus on corporate mergers and acquisitions, corporate advisory and governance, foreign investment, contract negotiation, equity capital markets and capital raising.

Ellen’s practice has involved acting for a wide range of public and private companies across a variety of industries, including health, aged care and retirement living, resources, (precious metals, oil and gas), IT, manufacturing and property. Ellen also has experience acting for landowners in relation to wind and solar farms.

Experience

  • Acting for both buyers and sellers in complex M&A transactions in a variety of industries;
  • Applications for Foreign Investment Review Board approval;
  • Acting for numerous landowners throughout New South Wales in relation to wind and solar farm projects;
  • Acting for aged care, retirement living and healthcare providers;
  • Acting for various energy, resources and mining companies in relation to:
    • tenement acquisitions and divestments;
    • joint venture and farm-in arrangements;
    • acquisition and divestment of royalties; and
    • associated due diligence processes.
  • Acting in shareholder disputes and associated settlement efforts;
  • Acting for a number of ASX listed companies in relation to:
    • ASX listing requirements, including corporate governance and disclosure obligations;
    • initial public offerings and reverse takeovers;
    • ASX Listing Rules Chapter 11 transactions (change of nature and scale);
    • capital raising and associated disclosure including;
      • placements to sophisticated/institutional investors;
      • share purchase plans;
      • capital consolidation;
      • issue of convertible notes
      • renounceable and non-renounceable rights issues; and
      • offer information statements.
  • Acting for a number of NSX listed entities in relation to NSX suitability reviews.
