Andrew is a Principal in the firm’s Corporate & Commercial team and acts for a variety of clients including multinationals and small to medium sized enterprises across a variety of industries.

Andrew’s main area of practice is mergers and acquisitions, restructuring and drafting commercial agreements. Andrew has assisted a number of overseas based multinationals expand into the Australian market.

Andrew is a member of the Executive and Treasurer of Ally Law, the international legal network which Russell Kennedy is a member of. Andrew has extensive experience in company law compliance matters, including obtaining informal merger clearance from the Australian Competition and Consumer Commission ( ACCC ).

Andrew is admitted to practice in Victoria, as well as England and Wales, having practiced in London for several years.

Andrew has been recognised as a stand out lawyer by Thomson Reuters from 2020 - 2023.


Experience

  • Negotiating commercial contracts, including major public private partnership infrastructure projects
  • Acting for buyers and sellers in mergers and acquisitions in a range of industries, including transport, professional services, retirement living and aged care, retail and manufacturing
  • Restructuring and succession planning advice, including the  preparation of shareholder and partnership agreements for legal, accounting and other professional service firms
  • Preparing and negotiating shareholder and joint venture agreements for a range of corporate, not-for-profit and government clients
  • Drafting and advising on terms of trade
  • Advising on corporate governance issues
  • Advising on application of GST and duty to commercial and property transactions
  • Undertaking large scale legal due diligence
  • Obtaining informal merger clearance from the Australian Competition and Consumer Commission
