Amity is a Senior Associate in the Corporate & Commercial team with broad commercial experience in a range of corporate transactions and advisory engagements. As well as practising in general corporate and commercial matters, Amity acts for both buyers and sellers in merger and acquisition transactions including business and share sale and purchase.

Amity has worked across various sectors including retail, aged care, not-for-profit, consumer goods, technology, government and arts & creative, acting on key commercial contracting arrangements as well as advising on corporate governance and regulatory compliance.

Experience

  • Acting on both large scale and small-medium corporate transactions and advisory engagements including restructuring, refinancing and sale/purchase of business and shares
  • Advising both buyers and sellers in M&A transactions and preparing and negotiating key transactional documents
  • Conducting legal due diligence on both buy-side and sell-side transactions
  • Assisting with seeking approvals from regulators including FIRB, ASIC and ACCC
  • Preparing and negotiating shareholder, partnership and joint venture agreements
  • Restructuring of family holdings, including trust and entity reorganisation, ownership and governance changes
  • Structuring and establishing discretionary trusts and unit trusts; varying and vesting both simple and complex trusts
  • Drafting bespoke company constitutions on incorporation, amending existing constitutions, company secretarial duties and drafting board papers, resolutions and confirmations for various corporate actions
  • Preparing and negotiating general commercial contracts for business operations including supply agreements and terms of trade
  • Advising on the unfair contract terms (UCT) regime and reviewing commercial contracts to ensure compliance and enforceability
  • Preparing and negotiating family loan agreements as well as documenting corporate lending arrangements and securities
  • Advising on regulatory and corporate governance matters, including Corporations Act compliance, director/officer duties and ASIC reporting and disclosure obligations
