Mary-Anne is a corporate and commercial lawyer, primarily advising clients on a range of corporate transactions and commercial agreements, in addition to corporate governance and regulatory compliance issues.

Recently, her practice has focused on advising Australian companies and multi-national corporations operating within the direct selling industry and the health industry. Mary-Anne is committed to assisting clients achieve their distinct business goals and objectives by providing commercial, tailored and practical solutions.


  • Preparing and advising on commercial contracts including supplier agreements, services and facilities agreements, terms and conditions of trade, and loan agreements
  • Undertaking due diligence investigations, drafting transactional documents and representing privately owned entities in both share and asset deals
  • Assisting purchasers and vendors in merger and acquisition transactions in various industries (health, automotive, and construction and infrastructure)
  • Acting for clients in relation to company structuring arrangements including preparation of ownership agreements in particular, shareholder agreements, unitholder agreements, and partnership agreements
  • Advising on clients on issues pertaining to national consumer and privacy law compliance
  • Advising on corporate governance and regulatory compliance issues, including internal governance processes and constitution reforms
  • Advising Australian and multi-national direct selling companies on identification and management of legal risks
  • Advising private companies on various issues relating to the Corporations Act 2001 and Competition and Consumer Act 2010
