Janice is an associate in Russell Kennedy’s Corporate and Commercial team, with significant expertise across business sales, commercial agreements, corporate advisory and mergers and acquisitions. She advises clients on all aspects of structuring, negotiating, and implementing complex transactions, providing strategic and commercially focused guidance tailored to each stage of the business lifecycle.

Janice is known for her pragmatic approach and clear communication, helping clients navigate legal complexities with confidence. Her experience spans a range of industries, including aged care, other care sectors, not-for-profits, and private enterprise, with a strong focus on achieving commercially sound outcomes.

Experience

  • Advising clients across the aged care sector and other care sectors on end-to-end M&A transactions — from strategic planning and MOUs to due diligence, contract negotiation, integration and post-completion matters.
  • Drafting and negotiating a wide range of commercial and transactional documents, including sale agreements, services arrangements, joint venture agreements and memorandums of understanding.
  • Supporting clients to deliver on strategic initiatives such as collaborative service delivery models, organisational restructures and regulatory compliance projects.
  • Providing corporate advisory services on directors’ duties and corporate compliance obligations.
  • Delivering strategic corporate governance advice, including Board structuring, constitution reviews, ASIC compliance, shareholder matters and governance frameworks to support effective decision-making and regulatory alignment.
  • Preparing succinct, outcome-focused communications and briefing materials for clients to facilitate negotiations and stakeholder engagement in complex transactions.
